This electronic record is governed by the Information Technology Act, 2000 and applicable rules and amendments. These Terms & Conditions ("Terms") are published under Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 and govern access to and use of [___________________] ("Website"), owned and operated by SETMORE EXIM PRIVATE LIMITED (CIN: __________), with registered office at __________ (the "Company"). Scope and Use
The Website and its content (including communications tools, forums, product listings and other services) are provided for user information and use, not as professional advice. The Company and its affiliates, agents, service providers and suppliers are not responsible for decisions made by Users based on Website content. While the Company aims for accuracy, it does not guarantee completeness or timeliness of information.
The Company may change, suspend or discontinue any feature, product, content or service, or limit access, at any time without notice or liability.
Definitions / Parties
In these Terms, "Company" and "User" are referred to individually as a "Party" and together as the "Parties".
Eligibility
Only persons 18 years or older and competent to contract under the Indian Contract Act, 1872 may use the Website. Using the Website is a representation that you are legally competent.
Users are responsible for maintaining the confidentiality of their account credentials and for all activity under their account. Users warrant that registration and payment information provided is accurate; failure to provide accurate information may lead to suspension or termination of the account.

The Company may amend these Terms at its sole discretion or where required by law. Continued use after posting constitutes acceptance of the amended Terms.
Registration Data
Users must register and provide accurate information. The Company may suspend or cancel accounts if registration data is false, misleading or in doubt. Users must not impersonate others or use identifiers that infringe third-party rights. By providing information, Users grant the Company a non-exclusive, worldwide, perpetual, royalty-free, sublicensable right to use database rights in that information to operate the Website and services. The Company will use such information in accordance with these Terms and its policies.
Users are responsible for deliveries to addresses they provide and for any loss arising from incorrect information. Furnishing false information may lead to legal action.
Website Content & Intellectual Property
All Website content, products and materials are protected by intellectual property laws and remain the property of the Company or its licensors. Users must obtain prior written permission before using Company marks, logos or other proprietary content. If you use Website information in publications or research, cite the Company as a source and obtain written permission before modifying or reproducing documents or graphics.
The Company may, but is not obliged to, pre-screen or remove any content or products at any time.
Cancellation, Bulk Purchases & Fraud
The Website is for retail customers. The Company may cancel orders or block users if purchases suggest resale, bulk buying (more than two units) or suspected fraud. The Company may reject or cancel orders across accounts or by the same identifiers (name, mobile number, email, IP) suspected of bulk purchase or fraud, and may block such users without notice or liability.
If fraudulent transactions or returns are detected (including returns of fake/damaged items), the Company may restrict or block the user's ability to transact.
Product Information, Orders & Pricing
Product descriptions and images are provided in good faith but may contain errors. Prices are in INR and subject to change. The Company may correct pricing errors and cancel orders where pricing was incorrect. Order confirmation does not constitute acceptance; acceptance occurs on shipment or performance. The Company may require additional verification before accepting an order.
Payment and Billing
Users may pay using authorized payment methods available in India. Users must provide accurate payment details and are responsible for any loss due to incorrect details. The Company will keep payment details confidential except as required by law or for processing transactions. The Company may require additional authorization or verification and may cancel or delay orders if fraud is suspected. The Company captures order metadata (time, IP, etc.) to detect fraud and will cooperate with law enforcement.
Cash on Delivery (COD)
COD payments must be in cash, card or wallet to the courier partner at delivery; devices for card/wallet may be unavailable. COD may incur additional charges as disclosed at checkout. Delivery is subject to the delivery partner's serviceability; enter correct PIN codes. The Company may cancel orders if payment fails.
Cancellation Before Dispatch
The Company may accept cancellations any time before status "handed over to courier." The Company reserves the right to refuse or cancel orders for erroneous pricing or other errors and will refund where applicable.
Refund Policy
Eligible refunds will be processed to the original payment method within seven (7) working days after cancellation or after the logistics partner collects returned items. Actual crediting time depends on banking channels; the Company is not liable for bank processing delays or bank charges.
Shipping, Delivery & Installation
The Company aims to ship within seven (7) working days subject to payment realization and stock availability but is not liable for delays beyond its control. Multi-item orders may ship separately. Delivery may be by third-party partners; delivery personnel may request signature or ID proof. Installation, if required, is performed by brands or authorized service partners and may incur charges.
Returns and Refunds
Return and refund processes follow the Company's Return & Refund Policy displayed on the Website.
Tokenisation of Cards
Definitions: "Card member", "PAN", "Token", "Tokenised Card", "Token Requestor", and "Tokenisation Service" have their usual meanings as set out above.
The Card member may consent to tokenisation. Token Requestor will share card data with card networks, issuers and third parties to provide tokenisation. SEPL, its partners, issuers and networks may accept or deny tokenisation requests at their discretion. Tokenised cards may be subject to transaction limits and applicable laws. Tokenisation services and disputes are governed by Indian law.
Loss / Misuse / De-registration of Tokenised Cards
Card members must notify their bank/card issuer immediately of loss, theft or misuse. The Company is not liable for transactions before a token is blocked. Card members are responsible for losses arising from misuse if the token or security credentials were disclosed. De-registration of tokens is per SEPL's or Token Requestor's instructions.
Disclaimer & Warranty
Services, products and content are provided "as is" and "as available." The Company makes no warranty that services meet your requirements, are uninterrupted, timely or error-free, or that product information is error-free. Manufacturer warranties (if any) apply to products. The Company disclaims implied warranties to the fullest extent permitted by law. The Company does not guarantee confidentiality of communications transmitted over the Website.
Force Majeure
The Company is not liable for failure or delay in performance caused by events beyond reasonable control (including acts of God, strikes, government orders, transport breakdowns, hacking, civil unrest, etc.).
Governing Law, Jurisdiction & Arbitration
These Terms and any disputes are governed by Indian law. Courts in Kolkata have exclusive jurisdiction for suits arising from these Terms, though the Company may sue in other relevant jurisdictions. At the Company's sole discretion, disputes may be referred to final and binding arbitration under the Arbitration & Conciliation Act, 1996.
Changes to Terms
The Company may modify these Terms at any time; changes take effect on posting. Continued use of the Website constitutes acceptance of the updated Terms.
